Terms of Service.

These Terms of Service ("Terms") govern your use of the gonovus.ai website and the GoNovus service, including the GoNovus Shopify app (together, the "Service"). The Service is provided by Northbyte Inc., a Delaware corporation doing business as GoNovus ("GoNovus," "we," "us"). By using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business.
1. Separate customer agreements
If your business has signed a Master Services Agreement, Order Form, or other written agreement with us, that agreement controls. These Terms apply only where it is silent.
2. The Service
GoNovus is an AI shopping assistant that answers shopper questions by text and voice chat on merchant stores. We may update or improve the Service over time.
3. Accounts
You must give accurate information, keep your login details secure, and tell us promptly about any unauthorized use. You are responsible for activity under your account.
4. Acceptable use
You agree not to: (a) break the law or infringe the rights of others; (b) access systems or data without permission, or test for vulnerabilities except as described on our Trust page; (c) interfere with or overload the Service; (d) reverse engineer the Service except where the law allows; (e) use the Service to send harmful, deceptive, or unlawful content; or (f) resell the Service without our written consent.
5. Shopify
If you install the GoNovus app through Shopify, your use of Shopify is also governed by Shopify's terms. Shopify is not responsible for the GoNovus app.
6. Fees
Paid plans are billed as shown in the app listing, your Order Form, or at checkout. Fees are non-refundable unless stated otherwise or required by law.
7. Your data and AI
You keep ownership of the data you and your shoppers provide. We process it to provide the Service as described in our Privacy Policy (gonovus.ai/privacy). We do not use customer data to train AI models. AI answers can be wrong. You are responsible for reviewing the assistant's setup and content (such as product, pricing, and policy information) for your store.
8. Intellectual property
We own the Service, software, and website content. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT ALLOWED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE EXTENT ALLOWED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100 IF YOU HAVE NOT PAID US.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your content, your store, or your breach of these Terms.
12. Suspension and termination
You may stop using the Service at any time, for example by uninstalling the app. We may suspend or end access if you breach these Terms or if needed to protect the Service or others.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. The state or federal courts located in Delaware have exclusive jurisdiction, unless your signed agreement says otherwise.
14. Changes
We may update these Terms. We will post the new version with a new "Last updated" date and give reasonable notice of material changes. Continued use means you accept the changes.
